Ask five people what LLC means in Dubai and you will get three answers, at least one of which was true in 2019 and is not true now. This page is the correction. It defines seventeen business and licensing terms you meet while setting up or running a company in the UAE, and every single entry names the government page it was checked against. Where the honest answer is a gap, the gap is left visible rather than filled with something plausible.

Two boundaries before you start. First, this is business and licensing vocabulary — the words on your licence file, your lease and your labour paperwork. It is not accounting vocabulary. LLC meaning in Dubai: what a limited liability company actually is

An LLC is a limited liability company, the mainland corporate form governed by Federal Decree-Law No. 32 of 2021 on Commercial Companies, which u.ae names as the operative law. u.ae describes an LLC as formed by two or more partners, with the company name required to be followed by “Limited Liability Company” or the abbreviation “LLC”. A single-owner variant exists as well: a sole proprietorship LLC with one owner holding 100 per cent. The abbreviation on your licence is not decoration. It is the public signal of where liability sits.

The other thing to know about the LLC is what is no longer true of it. Mainland majority-Emirati ownership was abolished by the reforms consolidated into Federal Decree-Law No. 32 of 2021, and foreign investors can wholly own mainland companies. Anyone still quoting a 51 per cent rule at you is working from a superseded position.

Sole establishment meaning: the licence and the owner are one person

A sole establishment, also called a sole proprietorship, is a business owned by one natural person. u.ae states that where the form is a sole proprietorship, the company name is accompanied by the owner’s name and followed by “sole proprietorship with limited liability”. The practical consequence is the one people underestimate: the licence and the owner are the same legal person. The owner’s professional record is the firm’s record. That is not a reason to avoid the form, but it is a reason to be deliberate about choosing it.

Civil company meaning: the mainland form for professional work

A civil company is the mainland structure used for professional activities. The concrete, verifiable thing about it in the licensing file is this: u.ae requires a duly attested service agent contract for civil establishments and companies that are 100 per cent owned by non-GCC nationals. That is the sentence to work from. We are not going to state an ownership percentage rule beyond it, because we did not verify one, and an invented rule here would cost you money. Ask your emirate’s economic department how your specific activity is classified.

The three mainland forms side by side

Those first three entries are the ones people mix up most, because the difference is not visible from the outside. Here is what each source actually says about them, and nothing beyond it.

MOA meaning in the UAE: what a memorandum of association records

The memorandum of association, universally shortened to MOA, is the constitutional document of a company. It records who owns what share, how profits are split and how decisions get made. u.ae lists a “duly attested memorandum of association (for all types of companies)” among the documents required for a mainland trade licence, and separately lists “Drafting a Memorandum of Association and local service agent agreement” as a step in the process. Duly attested is the load-bearing phrase. A draft in an inbox is not yet an MOA for licensing purposes.

Local service agent meaning: what an LSA is and who needs one

The local service agent, or LSA, is the counterparty to the “service agent contract” that u.ae requires — duly attested — for civil establishments and companies that are 100 per cent owned by non-GCC nationals. That is the whole of what we verified for this page, and so it is the whole of what we will state. We are not quoting a fee, an equity share, or a description of what the agent holds or does not hold. Confirm the specifics for your activity with the economic department, or get a quote and we will check it with you.

Trade name meaning: the name on the licence and who approves it

u.ae puts it directly: “A trade name distinguishes one business from another and reflects the nature and the form of the business. An investor can apply for the trade name through the economic department in each emirate, through its website or mobile application.” Registering the trade name is a named step, and it comes before initial approval in the published sequence. Note the second half of that definition — the name has to reflect the nature and the form of the business, which is why creative names get bounced. We are not stating a reservation validity period; that was not verified here.

Initial approval meaning: the government no-objection before the licence

u.ae is unambiguous: “Before proceeding to get the full licence, you need to obtain initial approval.” Read it as the government’s no-objection to your proposed activity and ownership, given before the full licence file is assembled. It is not a licence, and it does not let you trade or invoice. What it does is stop you spending money attesting documents for a structure the authority was never going to accept. People conflate it with trade name approval constantly. They are separate steps, in a published order, and skipping either one stalls the file.

Trade licence meaning in the UAE: the six licence types

u.ae states that there are six types of licence: industrial, commercial, professional, tourism, agricultural and occupational. You do not pick one by preference. u.ae is explicit that the business activity is the basis for selecting the legal form and the type of licence, so the activity choice drives the structure, not the other way round. One hard deadline lives here as well: the licence must be paid for within 30 days of receiving the payment voucher.

That table looks trivial and it is deliberately so. The value is that it is complete and closed. There are six, they are these six, and any list you meet with seven or with different names is not the u.ae list. DED and DET meaning in Dubai: one licensing authority, two names

Each emirate has its own economic department, and that department issues mainland trade licences. In Dubai the licensing authority is the Department of Economy and Tourism (DET) — the name used in the Dubai Media Office announcement of 11 December 2023 headlined “Dubai’s Department of Economy and Tourism launches Dubai Unified Licence”. Older “DED” branding and dubaided.gov.ae addresses are still in wide circulation, so people search and speak using both names for the same body. Treat them as the same authority. We are not claiming a formal rename date, because we did not verify one.

Half of what people get wrong about UAE business terms is not a hard question. It is two names for one thing, or one name that changed and nobody updated the article.

Mainland meaning in the UAE: what a mainland licence lets you do

A mainland licence is one issued by an emirate’s economic department, under Federal Decree-Law No. 32 of 2021, letting the business trade in the wider UAE market. It is the default answer for a company whose customers are UAE-based businesses and consumers. Pair the definition with a rule that catches people out at the worst moment: u.ae states that “All businesses in the UAE must have a physical address to operate.” That is not a free zone rule or a mainland rule. It is a UAE rule, and it is why the lease document sits in the licence file.

Free zone meaning in the UAE: its own registrar, its own licence

A free zone is a designated zone with its own registrar and its own licence. That is the definitional core, and it is genuinely most of what the word means: a separate registering body, a separate rulebook, a separate renewal process. We are deliberately not stating a customs, tax or ownership rule in this entry, because those vary by zone and none was verified for this page. DIFC meaning in Dubai: the financial free zone with its own courts

DIFC is the Dubai International Financial Centre, created as a financial free zone in Dubai by Federal Decree No. 35 of 2004, within the framework of Federal Law No. 8 of 2004 on financial free zones. The DIFC Courts administer a common law, English-language jurisdiction for civil and commercial disputes. Here is the detail almost every write-up still gets wrong: Dubai Law No. 9 of 2004, which established the centre, was repealed and substituted by Dubai Law No. 5 of 2021. If a page you are reading cites Law No. 9 of 2004 as current, it has not been updated in years.

ADGM meaning in Abu Dhabi: what Abu Dhabi Global Market is

ADGM is Abu Dhabi Global Market, an international financial centre that operates across Al Maryah Island and Al Reem Island, an area of 14.38 million sqm. It was inaugurated in late October 2015 and applies English common law directly. On its own description, ADGM has four independent authorities — not three, which is the number repeated across most secondary write-ups and even some professional summaries. If your source says three, it is out of date or was never checked against adgm.com in the first place.

Ejari meaning in Dubai: the tenancy registration your licence file needs

The Dubai Land Department tenancy guide states it verbatim: “EJARI is an online program developed by RERA for recording tenancy contracts for all types of property in the Emirate of Dubai, pursuant to Law No. 26 of 2007, as amended by Law No. 33 of 2008”, and “the registration of tenancy contracts through EJARI is mandatory”. It connects straight to licensing, because u.ae requires a “Copy of the lease contract duly attested by Real Estate Regulatory Authority (RERA) in Dubai” for a mainland licence. Ejari is a Dubai term, not a federal one.

Work permit meaning in the UAE: what MoHRE requires before anyone works

Under Federal Decree-Law No. 33 of 2021, Article 6(1), no person may work in the UAE and no employer may recruit or employ a worker except after obtaining a work permit from the Ministry. Article 6(4) prohibits the employer from charging the worker recruitment or employment fees, directly or indirectly. u.ae publishes a fee range of AED 250 to AED 3,450 for issuing or renewing a permit, depending on whether the establishment is classified A, B or C. The permit is an employer cost by law, and treating it otherwise is a breach, not a negotiation.

Tas’heel and Tawseel meaning: the MoHRE service channels explained

Tas’heel is the MoHRE-approved service centre brand. Tawseel appears alongside it as one of MoHRE’s published service channels. On MoHRE’s own service pages for issuing, modifying and cancelling employment contracts, the listed channels are Service Centre, Website, Mobile Application and Tawseel. Business-centre fees on those services are capped at AED 72, and the digital channels are free of the business-centre charge. Completion time on those three services is 2 working days. In short: the same transaction, several doors, different costs.

ILOE meaning in the UAE: unemployment insurance and who pays it

ILOE is the involuntary loss of employment insurance scheme, established under Federal Decree-Law No. 13 of 2022 and Cabinet Resolution No. 97 of 2022. The premium is AED 5 a month where basic salary is AED 16,000 or less, and AED 10 a month above that. The benefit is 60 per cent of basic salary for up to three months per claim, capped at AED 10,000 or AED 20,000 a month depending on category. Small numbers, real administrative consequences when nobody owns the enrolment step.

Mainland, free zone and financial centre: the three worlds these terms live in

Most of the confusion in UAE business vocabulary is not about individual words. It is that the same word behaves differently depending on which of three worlds you are in. A licence means one thing when an emirate’s economic department issues it and another when a free zone registrar does. Getting the world right first makes the vocabulary fall into place.

Two honest gaps in that table. When a term stops making sense, the fastest fix is usually to ask which body owns it. Half these words belong to an economic department, a quarter to MoHRE and the rest to a specific Dubai or Abu Dhabi institution.

This one saves arguments. Some of the vocabulary in this glossary is federal and applies wherever you are — Abu Dhabi, Sharjah, Ajman, Fujairah or anywhere else in the UAE. Some of it is specific to one emirate, and using it elsewhere will get you a blank look or, worse, the wrong process.

Three things this glossary corrects that most write-ups get wrong

Correcting a widely repeated error is worth more than another definition. These three come up constantly, and each one has a real cost attached when someone acts on the wrong version.

The first one has a price tag. Somebody reads a stale article, believes they must hand over a majority shareholding, and negotiates away equity nobody was requiring. The second is a citation error rather than a commercial one, but it tells you something useful about the page you are reading: if the DIFC citation was not checked, nothing else on that page was either. The third is the kind of detail that gets copied from summary to summary until nobody remembers where the number came from.

Where these terms actually bite in your books

Licensing vocabulary feels like a one-off, front-loaded chore. It is not. Almost every term in this glossary creates a record that has to live somewhere in your accounting or payroll for as long as the business runs. That is the part nobody explains at the setup stage, and it is the part that shows up later as a reconciliation nobody can close.

The legal form you chose sets how ownership and profit sit in the equity section. An LLC has partners with defined shares recorded in the MOA, and distributions have to reconcile to that document. A sole establishment does not have that separation between the licence and the owner, which makes the discipline of keeping business and personal money apart entirely a matter of your own bookkeeping rather than something the structure enforces for you.

The licence itself is a recurring cost with a renewal date and a payment window, and the 30-day rule from the payment voucher means the liability appears before the cash leaves. The lease behind your Ejari registration is a rental commitment that gets expensed across the period it covers, not in the month it was paid. Work permits are employer costs by law, so they belong in staff costs and never as a deduction against the employee.

What is an MOA in the UAE?
MOA stands for memorandum of association. It is the constitutional document of a company, recording who owns what share, how profits are divided and how decisions get made. u.ae lists a duly attested memorandum of association among the documents required for a mainland trade licence, for all types of companies, and lists drafting the MOA and the local service agent agreement as a step in the process. Duly attested is the operative phrase. An unattested draft sitting in someone's email is not an MOA for licensing purposes, and the file will not progress without the attested version.
What is the difference between DED and DET in Dubai?
In practice, none — they are two names for the same job. Every emirate has its own economic department that issues mainland trade licences. In Dubai that body is the Department of Economy and Tourism, referred to as DET, and the Dubai Media Office announcement of 11 December 2023 about the Dubai Unified Licence names it that way. Older DED branding and dubaided.gov.ae web addresses are still in wide circulation, so searchers and service providers use both abbreviations for the same authority. Read them as interchangeable when you meet them, and check which name the current form or portal actually uses.
What is Ejari and is it mandatory in Dubai?
Ejari is an online programme developed by RERA for recording tenancy contracts for all types of property in the Emirate of Dubai, under Law No. 26 of 2007 as amended by Law No. 33 of 2008. The Dubai Land Department tenancy guide states plainly that registration of tenancy contracts through Ejari is mandatory. One practical deadline worth writing down: once you receive the payment voucher for the licence, u.ae states the licence must be paid for within 30 days. Miss that window and you are redoing steps you have already completed.
What is a local service agent in the UAE?
A local service agent, usually shortened to LSA, is the party to the service agent contract that u.ae lists among the required mainland licence documents. That requirement is stated for civil establishments and companies that are 100 per cent owned by non-GCC nationals, and the contract has to be duly attested. We are deliberately not quoting a fee, an equity share or a description of what the agent does or does not hold, because none of that was verified against a primary source for this page. Ask the relevant economic department, or ask us to check it for your specific activity.
What is the difference between mainland and free zone in the UAE?
A mainland licence is issued by an emirate's own economic department and sits under the federal Commercial Companies Law, Federal Decree-Law No. 32 of 2021. A free zone licence is issued by the registrar of that particular zone: a designated zone with its own registrar and its own licence. The practical difference for an owner is who you deal with, which rulebook applies and where your documents live. Whichever route you take, u.ae states that all businesses in the UAE must have a physical address to operate.
What is the difference between DIFC and ADGM?
Both are financial centres with English-language, common law frameworks, but they are separate jurisdictions in separate emirates. DIFC was created as a financial free zone in Dubai by Federal Decree No. 35 of 2004, within the framework of Federal Law No. 8 of 2004 on financial free zones, and the DIFC Courts administer a common law jurisdiction for civil and commercial disputes. ADGM is in Abu Dhabi, operates across Al Maryah Island and Al Reem Island covering 14.38 million square metres, was inaugurated in late October 2015, and applies English common law directly. ADGM describes itself as having four independent authorities.
Do I need a work permit to employ someone in the UAE?
Yes. Federal Decree-Law No. 33 of 2021 states in Article 6(1) that no person may work in the UAE and no employer may recruit or employ a worker except after obtaining a work permit from the Ministry. Article 6(4) prohibits the employer from charging the worker recruitment or employment fees, whether directly or indirectly. u.ae publishes a fee range of AED 250 to AED 3,450 for issuing or renewing a permit, depending on whether the establishment is classified A, B or C. Budget the permit as an employer cost, because passing it to the employee is not lawful.
What is ILOE in the UAE?
ILOE is the involuntary loss of employment insurance scheme, established under Federal Decree-Law No. 13 of 2022 and Cabinet Resolution No. 97 of 2022. The premium is AED 5 a month where basic salary is AED 16,000 or less, and AED 10 a month above that. The benefit is 60 per cent of basic salary for up to three months per claim, capped at AED 10,000 or AED 20,000 a month depending on the category. It is a small line item that becomes an administrative problem when nobody owns it, so decide early who tracks enrolment for each new joiner.
What is initial approval in the UAE licensing process?
Initial approval is the government's no-objection to your proposed activity and ownership, granted before the full licence file is assembled. u.ae puts it plainly: before proceeding to get the full licence, you need to obtain initial approval. It is not the licence and it does not let you trade. Treat it as a checkpoint — the authority has looked at what you intend to do and who intends to do it, and has not objected in principle. Trade name registration comes before it in the published sequence, and the attested documents come after.
